1. ACCEPTANCE OF TERMS

By accessing or using the Discord server operated by LE Trading Academy LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you are using the Server on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. NOT INVESTMENT ADVICE

LE Trading Academy LLC and this Discord Server do NOT provide individualized investment, financial, trading, tax, or legal advice. You acknowledge and agree that:

• All content shared on the Server, including but not limited to posts, messages, charts, analysis, videos, and other materials (collectively, "Content"), is provided solely for EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY and is general in nature.
• Nothing contained in the Server constitutes a solicitation, offer, or recommendation to buy or sell any securities, financial instruments, or other investment products, or an endorsement of any particular investment strategy.

You acknowledge and agree that:

• Past performance of any trading strategy, security, or portfolio is not indicative of future results. Historical returns, charts, and performance data do not guarantee or predict future performance.
• YOU COULD LOSE SOME OR ALL OF YOUR INITIAL INVESTMENT. You should not invest or trade with money that you cannot afford to lose.
• The use of leverage, margin, options, futures, and other derivative products can magnify both gains and losses, and may result in losses that exceed your initial investment.
• There is no guarantee that any strategy, indicator, technique, or educational content discussed on the Server will result in profits, prevent losses, or achieve any particular investment outcome.

5. NO PROFESSIONAL RELATIONSHIP

Your participation in the Server does not create any professional, fiduciary, advisory, brokerage, agency, employment, or client-service relationship between you and LE Trading Academy LLC, its owners, officers, directors, employees, contractors, agents, moderators, or affiliates (collectively, the "Company Parties").

No communication, Content, or interaction on the Server shall be deemed to create any such relationship unless and until a separate written agreement is executed by both parties expressly establishing such a relationship.

References to specific securities, companies, financial instruments, or investment strategies do not constitute personalized or tailored investment recommendations to you.

6. LIMITATION OF LIABILITY AND DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

6.1 Exclusion of Damages

LE Trading Academy LLC and the Company Parties shall NOT be liable to you or any third party for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages whatsoever, including but not limited to:

• Loss of profits, revenue, or trading losses of any kind;
• Loss of data, information, or use of the Server;
• Business interruption or loss of business opportunities;
• Any other pecuniary or non-pecuniary loss or damage;

arising out of or in connection with your use of (or inability to use) the Server, any Content, or any actions you take or fail to take based on Content or interactions on the Server, even if LE Trading Academy LLC or any Company Party has been advised of the possibility of such damages.

6.2 Total Liability Cap

In no event shall LE Trading Academy LLC's or any Company Party's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Server exceed the total amount you have paid, if any, to LE Trading Academy LLC for access to the Server during the twelve (12) months immediately preceding the claim.

6.3 Disclaimer of Warranties

ALL CONTENT AND SERVICES PROVIDED THROUGH THE SERVER ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement;
• Warranties that the Server or Content will be uninterrupted, error-free, secure, or free from viruses or other harmful components;
• Warranties regarding the accuracy, reliability, completeness, or timeliness of any Content or information.

6.4 Service Availability

LE Trading Academy LLC makes no guarantee that the Server will be available at all times, will operate without interruption or errors, or will be secure from unauthorized access. We reserve the right to modify, suspend, discontinue, or restrict access to the Server (in whole or in part) at any time, with or without prior notice, for any reason or no reason.

7. INTELLECTUAL PROPERTY RIGHTS

All Content, materials, information, data, software, designs, graphics, logos, trademarks, and other intellectual property shared by LE Trading Academy LLC, its moderators, employees, or authorized representatives on the Server ("Company Content") is and shall remain the exclusive intellectual property of LE Trading Academy LLC and is protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Company Content solely for your personal, non-commercial, educational purposes.

You agree that you will NOT, without the express prior written permission of LE Trading Academy LLC:

• Reproduce, copy, duplicate, download (except for temporary caching), or create derivative works from any Company Content;
• Distribute, publish, transmit, share, or disseminate any Company Content outside of the Server or to any third parties;
• Use any Company Content for commercial purposes or monetary gain;
• Share subscription-based or exclusive Content with individuals who are not authorized members of the Server;
• Resell, sublicense, or transfer your access to the Server or any Company Content to others.

8. USER RESPONSIBILITIES AND INDEMNIFICATION

By participating in the Server, you agree to the following:

8.1 Indemnification

You agree to indemnify, defend, and hold harmless LE Trading Academy LLC and all Company Parties from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, settlements, penalties, fines, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way connected with:

• Your access to, use of, or reliance upon the Server, any Content, or any information obtained from the Server;
• Your trading, investment, or financial decisions and activities;
• Your violation of these Terms or any applicable laws, rules, or regulations;
• Your infringement or violation of any third-party rights, including intellectual property, privacy, or other proprietary rights.

8.2 Acknowledgments

You further acknowledge and agree that:

• All trading and investment decisions are made independently by you, based on your own judgment, research, and risk assessment, and are made entirely at your own risk;
• You will not hold LE Trading Academy LLC or any Company Party responsible, liable, or accountable for any trading losses, investment losses, or other financial damages you may incur.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 Governing Law

These Terms and any disputes arising out of or relating to these Terms or the Server shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States of America, without regard to its conflict of law principles.

9.2 Jurisdiction and Venue

You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Pennsylvania for the purpose of litigating all such disputes. You hereby waive any objection to jurisdiction or venue in such courts.

10. MISCELLANEOUS PROVISIONS

10.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions of these Terms shall remain in full force and effect.

10.2 Entire Agreement

These Terms, together with any Privacy Policy and other policies or guidelines incorporated by reference, constitute the entire agreement between you and LE Trading Academy LLC regarding your use of the Server and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the Server.

10.3 Modifications to Terms

LE Trading Academy LLC reserves the right to modify, amend, update, or replace these Terms at any time, in its sole discretion, with or without prior notice. We will make reasonable efforts to notify you of material changes by posting the updated Terms on the Server or through other appropriate means. Your continued use of the Server following the posting of changes constitutes your acceptance of such changes.

10.4 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure by LE Trading Academy LLC to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

10.5 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without the prior written consent of LE Trading Academy LLC. LE Trading Academy LLC may freely assign or transfer these Terms without restriction.
